BUSINESS FORMATION

We have served as counsel to over two hundred corporations, partnerships, and limited liability companies. The extent of our services includes advice on the choice of business entity and the preparation of the entity’s operating agreement. In the past we have counseled clients on the organization of the business structure, the creation of contracts required for proper functioning of the new business entity, advice regarding corporate financing and stock ownership issues, mergers, acquisitions and reorganizations. We team up with outside counsel when that will enhance the efficiency of handling various matters including, equity financing, copyright infringement, trademark and patent needs, and labor issues.
